Terms & Conditions
These terms govern your use of the SWPI Consultancy website, our investor and seller services, and the Co-Source sourcer portal. Additional written terms may apply to a particular transaction.

1.About us and these terms
These terms are between you and SWPI Consultancy Ltd (company number 17310962), registered office 66 Paul Street, London, EC2A 4NA(“SWPI”, “we”, “us”). They apply to website visitors, investors, sellers, homeowners, landlords, property professionals and people or businesses registering for or using our Co-Source portal.
By using an account, submitting an enquiry or deal, or asking us to introduce or progress an opportunity, you agree to the parts of these terms relevant to you. A specific sourcing, introduction, agency, exclusivity, fee or transaction agreement signed or confirmed in writing will also apply and will prevail where it expressly conflicts with these general terms.
2.What SWPI does
SWPI is a property sourcing and consultancy business. We identify, assess, introduce and help progress property opportunities, record investor requirements, respond to owners and landlords considering a sale, and work with compliant sourcers through Co-Source. We may arrange calls and viewings, conduct commercial due diligence, present information and put forward offers or introductions.
SWPI is not an FCA-authorised investment platform and does not provide regulated financial, investment, mortgage, legal, tax, surveying or valuation advice. We do not hold client investment money through this website or Co-Source. Each party must take independent advice and complete its own checks before committing to a transaction.
3.Eligibility, accounts and acceptable use
- You must be at least 18, legally able to enter into contracts and provide accurate, current information.
- You are responsible for activity through your account, for protecting login details and shared links, and for telling us promptly if access may have been compromised.
- You must not use our services unlawfully; upload malicious, fraudulent, defamatory or misleading material; interfere with security; scrape or reverse engineer the service; or seek unauthorised access.
- You must not upload passwords, bank or card details, identity documents, government identifiers, medical information, special-category data or other prohibited sensitive information through ordinary forms, CRM fields or uploads.
- You must have the rights, permissions and lawful basis required for every contact record, document, photograph, PDF, link, property detail or other item you provide.
We may verify information and suspend or terminate access where we reasonably suspect inaccuracy, unlawful activity, security risk, misuse or harm to SWPI or another person.
4.Investors and investment opportunities
- You may give us your criteria directly or through our SOURCEFOLIO onboarding form so we can identify and communicate suitable property opportunities.
- Registration, an enquiry or portal access does not create a managed investment relationship, partnership, agency or obligation on either side to proceed.
- Deal packs, videos, estimates, yields, returns, cash-flow figures, refurbishment budgets and projections are informational and may rely on information supplied by sellers, agents, sourcers or other third parties.
- You must independently inspect the property, verify title, planning, licensing, condition, valuation, rent, costs, finance and tax position, and take appropriate legal and professional advice.
- We do not guarantee that an opportunity will remain available, be financeable, meet your criteria, achieve any stated result or complete.
5.Sellers, homeowners and landlords
- Submitting a property or portfolio enquiry allows us to contact you, understand your circumstances, arrange a viewing where appropriate and consider or put forward a possible offer or route to sale.
- You must provide information that is accurate and not misleading and disclose material facts you know could affect the property, ownership, occupation, value or transaction.
- An enquiry, discussion, indication of interest, estimate or viewing is not a binding offer or contract. Neither you nor SWPI is obliged to proceed until formal written terms are agreed and the relevant legal documents are completed.
- References to zero seller fees describe SWPI's proposed direct-acquisition or agreed sourcing route and do not remove third-party costs you may incur, such as independent legal, mortgage, tax, survey or early-repayment costs.
- You should obtain independent legal and financial advice before accepting an offer or entering into a property agreement.
6.Sourcer eligibility and compliance
- Co-Source is for business users. A sourcer must maintain every registration, permission and membership its activity requires, including an approved property redress scheme, ICO registration and anti-money-laundering supervision where applicable.
- Sourcers must comply with property, consumer-protection, anti-money-laundering, anti-bribery, data-protection and financial-promotion law and must evidence compliance when asked.
- A sourcer acting for a company or partnership confirms authority to bind it. The sourcer and that organisation are jointly responsible for compliance with these terms.
- Non-compliance or failure to provide evidence is a material breach and may result in immediate restriction, termination and minimum blocklist records designed to prevent re-registration.
7.Co-Source deal submissions
- We currently seek residential investment property in South Wales. A submission outside our current criteria may be rejected automatically and this alone is not a strike.
- You must have properly secured the property or hold a genuine agreed position with the owner or authorised agent that permits you to introduce it. You must not submit property you have no right to market or introduce.
- Purchase price, refurbishment cost, end value, rent, tenure, condition, calculator inputs and all other information must be accurate, supported where appropriate and not misleading.
- You must disclose every material fact known to you, including structural, title, tenure, tenancy, planning, licensing, condition or dispute issues that may affect an investor's decision.
- Photographs, PDF packs, listing links and video links must be lawful, relevant, free from malware and suitable for sharing with SWPI and prospective transaction parties.
- Submitting a deal does not oblige SWPI to accept, inspect, progress, present or explain the rejection of it.
8.Accuracy, strikes and blocklisting
SWPI may verify figures, inspect a property and complete further due diligence. If submitted information is inflated, misleading, materially inaccurate or omits a material fact, we may record a strike, request more information, restrict submissions or remove the account.
- A first strike may result in a warning recorded with the reason.
- A second strike may result in a formal warning and additional scrutiny of later submissions.
- A third strike may result in restricted submissions or account removal.
We may retain the minimum name, email, telephone number and reason needed to prevent a removed person re-registering. Deliberate misrepresentation or unlawful conduct may be reported to the relevant redress scheme, regulator, trading standards or police.
9.Sourcer fees
- Where SWPI accepts a sourced deal and it completes, the sourcer may receive a share of the sourcing fee actually received by SWPI.
- The share is agreed and confirmed by SWPI in writing for that deal. It reflects the work completed, submission quality, accuracy and the sourcer's record with us.
- No fee is payable until the property transaction legally completes and SWPI has received cleared funds for its own sourcing fee.
- No fee is due if the deal is rejected, withdrawn, does not complete or SWPI is not paid. SWPI is not liable for the sourcer's time, costs or expenses.
- Fees are exclusive of VAT where applicable. Sourcers remain independent businesses responsible for invoicing and their own tax.
- We may set off sums owed to us, including losses arising from an inaccurate or non-compliant submission, against sums otherwise due.
10.Non-circumvention and confidentiality
Non-public deal information, investor and seller identities, criteria, introductions, pricing, filter rules and workflow information are confidential business assets. You must not bypass SWPI by transacting, negotiating, introducing or taking a fee with that property or person outside SWPI, directly or indirectly. The exact duration, scope and enforcement of these obligations are set out in the separate sourcing agreement or written transaction contract that SWPI provides for a particular deal or relationship.
You must use confidential information only for the purpose for which it was shared, protect it and not disclose it without permission. For circumvention, we may claim the full fee we would reasonably have earned, our enforcement costs, injunctive relief and an account of profits. Confidentiality continues after access or a relationship ends.
11.SOURCEFOLIO and other third-party services
SWPI uses SOURCEFOLIO, a separate software provider, for investor onboarding, criteria, CRM records, deal presentations, videos and portal access. When you leave our site for a SOURCEFOLIO page, its own platform terms and privacy information also apply. They are available at www.sourcefolio.uk. SOURCEFOLIO provides technology infrastructure and does not verify SWPI opportunities or provide investment advice.
We also rely on hosting, database, authentication, storage, email, analytics, mapping and other infrastructure providers. We take reasonable steps to select and manage providers, but third-party services may change, fail or become unavailable. We do not guarantee uninterrupted access to this website, Co-Source, SOURCEFOLIO or any linked service.
12.Content and intellectual property
You retain ownership of content you provide. You grant SWPI a worldwide, royalty-free, non-exclusive licence to store, copy, assess, adapt and share it as reasonably necessary to respond to your enquiry, operate our records, assess and market an opportunity, and progress a transaction. You warrant that you have authority to grant this licence.
The SWPI website, Co-Source platform, branding, calculator, rules, templates, copy and original materials belong to SWPI or our licensors. You receive only a limited, non-exclusive, non-transferable and revocable right to use them for their intended purpose. You must not copy, frame, reproduce, resell, reverse engineer or use them to build a competing service without written permission.
13.No advice, verification or guarantee
Figures, calculations, projections, yields, returns, valuations, property descriptions and other content are illustrative and may depend on user or third-party information. Although SWPI may perform commercial due diligence, this is for our own sourcing process and is not a substitute for your survey, valuation, searches, legal work, finance checks or advice.
Property values, rents and costs can change. We do not guarantee accuracy, availability, finance, completion, profit, yield, capital growth, rental performance or any other result.
14.Liability and your responsibility
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot legally be limited. Subject to that, SWPI is not liable for indirect or consequential loss, investment loss, loss of profit, opportunity, anticipated fees, business, goodwill or data, or loss caused by decisions made using unverified information.
For a Co-Source sourcer, our total aggregate liability is limited to fees actually paid by SWPI to that sourcer in the 12 months before the event giving rise to the claim. For another user who has paid SWPI under a separate written agreement, it is limited to the fees paid by that user to SWPI in that period. Where no fee has been paid and liability cannot otherwise be excluded, the limit is £100.
A sourcer or business user indemnifies SWPI against losses, claims, fines and reasonable costs arising from its unlawful, inaccurate or unauthorised content; breach of these terms; breach of regulatory or data-protection obligations; or circumvention or misuse of a confidential introduction. This does not apply to the extent a loss was caused by SWPI.
15.Suspension, termination and data
We may remove content and suspend or terminate access where these terms are breached, fees are unpaid, information is inaccurate, compliance cannot be verified, or security, fraud or harm is reasonably suspected. You may ask to close your account. Rights already accrued and clauses intended to continue — including confidentiality, non-circumvention, intellectual property, liability and governing law — survive termination. Personal information is then handled under our Privacy Policy and applicable retention duties.
16.General
- We may update these terms. The date at the top identifies the version in force, and material changes affecting active users will be notified where reasonably practicable.
- Nothing creates a partnership, joint venture, employment relationship or authority for you to bind SWPI.
- These terms, our Privacy Policy, Data Processing Agreement and any applicable written transaction agreement form the entire agreement for their subject matter.
- A delay in enforcing a right is not a waiver. If a provision is unenforceable, the remainder continues and the provision is adjusted only as necessary.
- You may not transfer these terms without our written consent. SWPI may transfer them as part of a genuine business sale or reorganisation.
- No third party may enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
- Notices to SWPI should be sent to SWPI@SWPIConsultancy.co.uk.
17.Governing law and jurisdiction
These terms and any dispute or claim arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law gives an individual the right to bring a claim elsewhere.
